Not an Offer

Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any securities of StrikePoint in any jurisdiction. The information is not investment advice and is not intended to be relied upon in making an investment decision. Visitors should conduct their own due diligence and consult their own advisors. Investing in mineral exploration companies involves a high degree of risk.

Forward-Looking Information

This website contains “forward-looking information” and “forward-looking statements” within the meaning of applicable Canadian securities laws. Forward-looking statements can often be identified by words such as “may”, “will”, “expect”, “anticipate”, “plan”, “target”, “potential” and similar terms. They include, but are not limited to, statements about exploration and drilling plans at the Northumberland, Hercules and Cuprite projects; the targeted timing of a Preliminary Economic Assessment and any Pre-Feasibility Study; contingent payments under the Northumberland acquisition; metallurgical testwork; permitting; the use of proceeds; and the Company’s plans and objectives.

These statements reflect management’s current beliefs and are based on assumptions that management considers reasonable, including that market fundamentals will support mineral demand and prices, that required approvals will be obtained, that financing will remain available on suitable terms, and that the Company can carry out its exploration and work plans as anticipated.

Forward-looking statements involve known and unknown risks and uncertainties, and actual results may differ materially. Risks include, among others: risks inherent in exploration and development; changes in commodity prices; unexpected variations in mineralization, grade or recovery; delays in obtaining government approvals; permitting, environmental and community matters; cost escalation; and the Company’s ability to obtain financing. Readers should not place undue reliance on forward-looking statements. The Company disclaims any obligation to update them except as required by law.

Qualified Person

Michael G. Allen, P.Geo., President, CEO and a director of StrikePoint and a Qualified Person as defined by National Instrument 43-101, has reviewed and approved the scientific and technical information on this website. Mr. Allen is not independent of the Company.

Technical Disclosure

The Northumberland Mineral Resource Estimate and related technical information are derived from the “NI 43-101 Technical Report, Northumberland Gold Project, Nevada, USA” prepared by Hebert Oliveira, B.Sc., P.Geo., of SLR Consulting (Canada) Ltd. and Travis O’Farrell, P.Eng., of Fuse Advisors, part of SLR, each an independent Qualified Person. Mineral Resources that are not Mineral Reserves do not have demonstrated economic viability, and there are no Mineral Reserves at Northumberland. Inferred Mineral Resources have had insufficient work to be classified as Indicated.

Technical information on the Hercules and Cuprite projects is derived from the respective NI 43-101 technical reports dated June 30, 2026 and June 24, 2026, prepared by independent Qualified Persons. The Hercules Exploration Target is conceptual in nature; there has been insufficient exploration to define a mineral resource, and it is uncertain whether further exploration will result in one.

Historical drill results and production figures were reported by previous operators and are summarized in the technical reports. Full reports are available on the Investors page and under the Company’s profile on SEDAR+.

Third-Party Information & Comparables

This website includes market, industry and peer data obtained from publicly available sources believed to be reliable. The Company has not independently verified this information and makes no representation as to its accuracy. Comparisons with other issuers are for information only; the performance of StrikePoint will not necessarily match that of comparable issuers, and an investor may not achieve a similar return. References to nearby or analogous deposits are for geological context only and are not indicative of mineralization on the Company’s properties.

Governing Law

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. See also our Privacy Policy.
